Terms of Service

These terms govern your use of the nexistxt messaging platform, operated by nexistxt. By creating an account you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.

1The service

We provide application-to-person messaging over SMS and, where enabled on your account, RCS and WhatsApp. We route your messages to telecom operators through our own connections and report back what the operator tells us.

We are a communications intermediary. We do not author your messages and we do not select your recipients.

2Eligibility and account approval

The platform is for registered businesses. Accounts are created in a pending state and are activated for sending only after we have verified your DLT registration — your Principal Entity ID, sender headers and content templates. We may decline to activate an account, and we may suspend one, where verification fails or where we believe traffic would breach regulation.

You are responsible for everything done under your credentials. Tell us immediately if you believe they have been compromised.

3Your regulatory obligations

Indian A2P messaging is governed by the Telecom Commercial Communications Customer Preference Regulations. Penalties under those regulations are levied per violation and escalate. You agree that:

  • you hold a valid DLT registration and the sender IDs and templates you use are registered to you;
  • message content matches the approved template — you will not route promotional content as transactional to escape the time window or the preference rules;
  • you have a lawful basis to contact every number you upload;
  • you will honour opt-outs promptly.

We match content to registered templates before transmission. That is a control, not a warranty: we cannot verify where your list came from.

4Charges, wallet and billing

The account is prepaid. You add credit before you send, and campaigns are held rather than partly sent if your balance is insufficient.

A campaign reserves its full cost when you launch it. Each message is charged when it is submitted to the operator. The delivery outcome does not change the price: our own vendors bill us on submission, whatever the handset does afterwards.

A scheduled campaign cancelled before its first message goes has its whole reservation returned automatically. That is the only refund: once a send has begun, or once a message has been submitted, its cost stands whatever happens next. Rates are those published on our pricing page or agreed in writing, and are exclusive of GST.

5Delivery, and what we do not promise

We do not guarantee delivery of any individual message. Delivery depends on the recipient’s operator, handset state, roaming, regulatory filters and the recipient’s own preferences, none of which we control.

Delivery receipts are reported to us by operators and we pass them on unmodified. Receipts can arrive hours after submission, and some never arrive at all. A message without a final receipt is not evidence that it was not delivered.

We aim for high platform availability but do not offer an uptime guarantee under these terms. A separate service level agreement may apply if we have signed one with you.

6Suspension

We may suspend or limit your account without notice if:

  • we are directed to by a regulator or operator;
  • traffic appears to breach the Acceptable Use Policy or DLT regulation;
  • your balance is negative or a payment is reversed;
  • we reasonably believe the account is compromised.

Where suspension is not urgent, we will tell you why and what would resolve it.

7Intellectual property

The platform, its software and its documentation remain ours. Your data — your lists, your message content, your reports — remains yours. You grant us only the licence needed to operate the service for you.

8Liability

Neither party excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be excluded by law.

Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business or loss of anticipated savings, and our total liability arising in any twelve-month period is limited to the charges you paid us in that period.

Note: the limitation above is a common commercial position but has not been tailored to your business. Have it reviewed before you rely on it.

9Indemnity

You will indemnify us against claims, penalties and regulatory fines arising from your message content, your recipient lists, or your breach of DLT regulation — including penalties levied on us by an operator or regulator as a result of your traffic.

10Termination

You may close your account at any time. Unused wallet credit is refundable in accordance with the Refunds & Cancellation Policy. We may terminate on thirty days’ notice, or immediately for material breach.

On termination we retain transmission records for the period regulation requires and delete the rest.

11Changes

We may change these terms. Material changes take effect thirty days after we notify you by email, and continuing to use the service after that constitutes acceptance.

12Governing law

These terms are governed by the laws of India. The courts at available on request have exclusive jurisdiction.
